ottadot Terms for Shops
Version 1.0 · Effective 29 September 2026 · Published at ottadot.com/terms
These terms are a contract between two businesses. Please read them before you tick the box at checkout. They are short on purpose.
1. Who we are and who you are
1.1 The service is provided by Nextura LLC, a limited liability company organized in Wyoming, USA, trading as ottadot ("ottadot", "we", "us").
1.2 "The Shop" or "you" means the business that accepts these terms. The person who accepts confirms that they are allowed to bind that business.
1.3 You use ottadot for your business, not as a consumer.
1.4 Words used in these terms:
- a regular is one of your customers who adds your card;
- staff are the people who serve at your counter;
- a dot is one visit recorded on a regular's card;
- a location is one physical shop. Each location has its own subscription;
- a Seller is an independent contractor who installs and looks after ottadot for shops;
- a partner is a business that introduces shops to ottadot.
2. The service
2.1 ottadot gives each location a loyalty card that lives in your regulars' phone wallet (Apple Wallet or Google Wallet). There is no app to download.
2.2 A regular adds your card by scanning the QR code on your stand, or by tapping their phone on the NFC sticker.
2.3 At each visit the regular checks in by QR scan or NFC tap, and your staff give the dot from the staff screen. A tap alone never gives a dot. When a regular checks in or the staff look them up, their name appears on the staff screen.
2.4 You choose how many dots fill a card and what the reward is.
2.5 For an installed location, the setup includes a counter stand, a door badge and staff training by a Seller or by ottadot.
2.6 Messages on the card. The card can show short messages on the regular's lock screen, within these limits:
- (a) functional messages (a dot was added, a reward is ready) are always sent;
- (b) at most one other message per regular every 7 days;
- (c) a win-back message ("we miss you") at most once every 30 days per regular;
- (d) no messages between 21:00 and 08:00 local time.
2.7 ottadot does not send WhatsApp messages to your regulars.
2.8 Apple and Google control how wallet cards and messages appear on phones and may limit them. We are not responsible for their decisions, but we will tell you if a change affects the service.
2.9 The service includes only features that are live. A feature that is not yet live is not part of the service until we tell you it is.
2.10 Support is given by WhatsApp, email and AI support, in your language.
3. Prices
3.1 Each location pays a one-time setup fee and a monthly subscription. In each market both are the same amount, in local currency:
| Market | Setup (once) | Monthly | Tax |
|---|---|---|---|
| Bolivia | Bs 300 | Bs 300 | Final price, tax included |
| Any other country | US$25 | US$25 | If a tax applies in your country, we tell you before we charge you. |
3.2 The price that applies to you is the one shown at checkout for your country. It stays the same until we change it under clause 14.
3.3 We do not give discounts to close a sale. Any free period (for example as the first shop in a neighbourhood, or as a partner's gift) is set out in a separate written offer and follows that offer.
4. Payment
4.1 Day 1. On the day of installation (or of online signup) you enter a card in ottadot's checkout. We charge the setup fee that day, save the card and start the subscription.
4.2 First month included. Your first month is included in the setup. We charge the first monthly payment automatically on day 31, and then every month. You receive the date of the first monthly charge in writing on day 1.
4.3 Before online checkout is live. While online payment is not available in your market, you pay the setup fee by QR or bank transfer to the account ottadot gives you, and we send you a receipt. Before day 31 we send you by WhatsApp how to pay the monthly fee.
4.4 Pay ottadot only through the checkout, the customer portal or, under clause 4.3, the account ottadot gives you. Never pay a Seller or partner.
4.5 Late payment. If a monthly payment fails, we tell you and try again. If it is still unpaid on day 45 after it was due, we may pause your cards until it is paid. Your regulars' dots are kept during a pause.
4.6 Refunds.
- (a) The setup fee is non-refundable once the location is installed. One exception: if we cannot make the card work at your location during the first month, we refund the setup fee.
- (b) Monthly payments are not refunded for part of a month.
5. Term and cancellation
5.1 There is no minimum term. The subscription runs month to month.
5.2 You can cancel at any time by filling in the one-screen cancellation form at https://www.ottadot.com/business/cancel. If you write "CANCEL", "CANCELAR" or "AVSLUTA" to ottadot's WhatsApp +591 622 96523, we send you the link. The form asks why you are leaving and may show you one offer; once you submit it, you are cancelled, with effect from the end of the month you have paid for. We do not charge you again.
5.3 When you try to cancel, we may ask what happened and, at our discretion, make one save offer. For example: a one-month pause (cards and dots are kept), the next month at 50%, or a free 20-minute session with ideas to bring regulars back. We make at most one save offer per location every 6 months. You can always say no. We never block a cancellation.
5.4 We may end the service for a location:
- (a) with 60 days' notice, if we stop offering the service in your market;
- (b) if you break these terms and do not fix it within 14 days of our notice;
- (c) at once, for fraud, unlawful use or a serious breach of clause 8.
5.5 After the service ends, your cards stop working at the end of the paid month. Annex A, clause A10, says what happens to the data.
6. Rewards are yours
6.1 You choose the rewards and how many dots earn them.
6.2 You fund 100% of the rewards and you are fully responsible for honouring them. ottadot does not pay for, supply or guarantee any reward.
6.3 You are responsible for the rules you give your regulars (what the reward is, whether it can be exchanged, when it ends) and for any tax or legal rules on rewards and promotions in your country.
6.4 If you cancel, you decide how to handle dots and rewards already earned. We recommend honouring full cards for 30 days and telling regulars in the shop.
6.5 Claims from regulars about rewards are between you and the regular. You will cover ottadot for losses caused by such claims.
7. Your part
7.1 Keep the stand and door badge visible while you use the service.
7.2 Give dots only for real visits or purchases, under your own rules.
7.3 Keep your login private and tell us at once if someone else may be using it. You are responsible for what your staff do on the staff screen.
7.4 Keep your business details up to date.
7.5 Make sure you have the right to use any name, logo or image you give us.
8. Acceptable use
8.1 You must not use ottadot to:
- (a) make misleading claims about your business, products, prices or rewards;
- (b) make health or medical claims in messages, on the card or in rewards (for example that a product treats, cures or prevents anything);
- (c) send spam, or send messages to people who have not added your card;
- (d) send anything unlawful, offensive or discriminatory, or anything that infringes someone else's rights;
- (e) reward reviews, or invite only happy customers to leave a review;
- (f) give dots for anything that is not a real visit or purchase;
- (g) resell, copy or reverse engineer the service, or get around its limits or security.
8.2 We may refuse or remove any message that breaks this clause, and we may pause the service while we look into it.
9. Data protection
9.1 You are the controller of your regulars' personal data. ottadot is your processor. Annex A (Data Processing Agreement) is part of these terms.
9.2 We collect only what the card needs: the regular's name, email or phone number, visits and dots, usual order, if your staff record it, and birthday (day and month only) if the regular chooses to give it.
9.3 We use your regulars' data only to run your card. We never sell it, never use it for advertising and never share it with other shops. The one exception is the one-tap join: a regular who already has an ottadot card can join another shop with one tap, only when the regular chooses to.
9.4 We delete a regular's data 24 months after their last visit to your location, or sooner if you or the regular ask.
9.5 You must give your regulars a privacy notice and have a lawful basis for the data. We provide a notice on the join screen, at ottadot.com/privacy, with your shop's details.
9.6 ottadot is the controller of your own business data (owner contact details, account and billing). Our privacy policy at ottadot.com/privacy explains how we use it. We may use anonymous, aggregated statistics that identify no regular and no shop to run and improve the service.
10. Sellers and partners
10.1 Sellers and partners are independent contractors. They are not ottadot's employees and they are not ottadot's agents.
10.2 They have no authority to sign anything for ottadot, to change these terms or the price, to give discounts, or to promise anything that is not in these terms. Only these terms and what ottadot confirms in writing bind ottadot.
10.3 Tell us at hola@ottadot.com or WhatsApp +591 622 96523 if a Seller or partner says something that does not match these terms.
11. Intellectual property
11.1 ottadot owns the service, its software, the ottadot name and its designs. You may use them for your locations while you subscribe.
11.2 You keep ownership of your name and logo. You allow us to use them on your card, stand, door badge and account. We show your shop in our marketing only with your consent.
12. Availability
12.1 We work to keep the service running and secure, but we do not promise that it will never be interrupted. We try to do maintenance at quiet hours.
12.2 The service depends on third parties (for example Apple, Google, hosting and payment providers). We are not responsible for their failures, but we act promptly to limit the effect on you.
13. Liability
13.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow to be limited.
13.2 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
13.3 ottadot's total liability to you is limited to the fees you paid ottadot in the 12 months before the event that caused the claim.
13.4 Clause 13.3 does not limit your duties on rewards (clause 6) or your payment duties.
14. Changes
14.1 We may change these terms or the prices with 30 days' notice by email or WhatsApp.
14.2 If you do not agree, you may cancel before the change takes effect, and the change will not apply to you.
14.3 Changes required by law or for security may take effect sooner. We will tell you as soon as we can.
15. Assignment
15.1 ottadot may transfer this contract, in whole or in part, to an affiliate or to a successor (for example a future parent company of ottadot, or a buyer of the ottadot business). We will tell you. Your rights under these terms stay the same.
15.2 You may not transfer this contract without our written consent. We will not refuse consent unreasonably if you sell your business.
16. Law and disputes
16.1 These terms are governed by the law of the State of Wyoming, USA.
16.2 The courts of the State of Wyoming, USA have non-exclusive jurisdiction.
16.3 Nothing in these terms removes any protection that the law of your country gives you and that cannot be excluded by contract.
16.4 Before going to court, tell us about the problem at hola@ottadot.com or WhatsApp +591 622 96523 and give us 30 days to fix it.
17. General
17.1 These terms, the checkout page and Annex A are the whole agreement for the service.
17.2 If a court finds part of these terms invalid, the rest stays in force.
17.3 If a translation differs from the English version, the English version prevails.
17.4 Only you and ottadot have rights under these terms (the Contracts (Rights of Third Parties) Act 1999 does not apply).
17.5 We send notices to the email address or WhatsApp number on your account. Send notices to hola@ottadot.com or to our registered office.
18. Acceptance
18.1 You accept these terms by ticking the box at checkout or at signup.
18.2 We store the date and time of acceptance, the terms version, the location and the account that accepted and the IP address.
Annex A: Data Processing Agreement (summary of UK and EU GDPR Article 28 terms)
This annex applies wherever you use ottadot. ottadot applies the same GDPR-grade standard in every market, including where local law asks for less. In Sweden, this annex is the personuppgiftsbiträdesavtal.
A1. Roles. You (the Shop) are the controller. ottadot is the processor.
A2. What is processed.
| Item | Detail |
|---|---|
| Subject matter | Running the Shop's wallet loyalty card |
| Duration | While the Shop subscribes, then until deletion or return under A10 |
| Nature and purpose | Creating and updating wallet cards; recording check-ins, dots and rewards; showing the regular to staff at check-in; card messages within the limits in clause 2.6 |
| Data subjects | Regulars; the Shop's staff who use the staff screen |
| Personal data, regulars | Name; email or phone number; visits and dots; rewards; birthday (day and month) if given; usual order; card and device identifiers needed to update the card; message choices |
| Personal data, staff | Name; login; actions on the staff screen |
| Special category data | None. The Shop must not enter any |
A3. Instructions. ottadot processes personal data only on the Shop's documented instructions: these terms and the settings the Shop chooses. If the law requires ottadot to do otherwise, ottadot tells the Shop first, unless the law forbids it. ottadot tells the Shop if it thinks an instruction breaks data protection law.
A4. Confidentiality. Everyone ottadot allows to process the data (employees, contractors and Sellers) is bound by confidentiality and sees only what their task needs.
A5. Security. ottadot keeps appropriate technical and organisational measures under Article 32, including encryption in transit and at rest; access limited by role; multi-factor login for admin access; backups; logging of admin access; regular review of these measures.
A6. Sub-processors. The Shop gives general authorisation for ottadot to use sub-processors. Current list:
| Sub-processor | What it does | Where |
|---|---|---|
| Supabase | Database and logins | USA (Ohio, AWS us-east-2) |
| Vercel | Web hosting | USA (Washington, D.C., iad1) |
| WalletWallet | Creating and updating wallet cards | Cloudflare global network |
| Stripe | Payments (the Shop's billing data only) | USA |
| Apple, Google | Delivering wallet cards and updates | USA |
| Resend | USA |
ottadot tells the Shop at least 30 days before adding or replacing a sub-processor. The Shop may object on reasonable data protection grounds; if we cannot resolve the objection, the Shop may cancel. ottadot puts the same data protection duties on each sub-processor by contract and remains responsible for it.
A7. Transfers. When data leaves the UK or the EEA, ottadot uses a lawful transfer tool: the UK International Data Transfer Agreement or Addendum, and the EU Standard Contractual Clauses.
A8. Assistance. Taking into account the nature of the processing, ottadot helps the Shop:
- (a) to answer requests from regulars who exercise their rights. ottadot passes on any request it receives within 5 business days and does not answer it without the Shop's instruction except to confirm receipt;
- (b) with security, breach notification, data protection impact assessments and prior consultation (Articles 32 to 36).
A9. Personal data breach. ottadot tells the Shop without undue delay, and within 48 hours, after becoming aware of a breach affecting the Shop's data, with the information the Shop needs to meet its own duties.
A10. Deletion and return. ottadot deletes a regular's data 24 months after their last visit to the Shop. When the Shop stops using ottadot, ottadot returns the data as a CSV file or deletes it, at the Shop's choice, within 12 months, unless the law requires ottadot to keep it.
A11. Audits. ottadot makes available the information needed to show that it meets this annex, and allows audits by the Shop or an auditor it appoints once a year, on 30 days' notice, in business hours, at the Shop's cost. ottadot may first answer with written information or third-party certifications.
A12. Records. ottadot keeps a record of its processing (Article 30(2)).
A13. Priority. If this annex conflicts with the rest of these terms on personal data, this annex prevails.
